Terms of Service
1. Acceptance
These Terms of Service ("Terms") govern your access to and use of UnitPay's platform and services (the "Service"), provided by UnitPay, Inc. ("UnitPay," "we," "us"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Description of Service
UnitPay provides usage-based billing and monetization infrastructure that allows companies to meter product usage, configure pricing and credit models, generate invoices, collect payment, and analyze revenue. We may add, modify, or discontinue features of the Service at any time.
3. Accounts & Registration
You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or third-party right.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use the Service to process fraudulent transactions or to circumvent metering or billing controls.
5. Fees & Payment
Fees for the Service are described in your order form, plan, or as shown in the product. Fees are billed in accordance with your selected billing model (subscription, usage-based, credit-based, or a combination) and are non-refundable except as required by law or expressly stated otherwise. You authorize us and our payment processors to charge your designated payment method for all fees incurred. Late or failed payments may result in suspension of the Service.
6. Intellectual Property
UnitPay retains all right, title, and interest in and to the Service, including all related software, technology, and trademarks. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You retain all rights to your own content and data submitted to the Service.
7. Customer Data & Confidentiality
"Customer Data" means the data you submit to or generate through the Service, including usage events, customer records, and billing configurations. You retain ownership of Customer Data. We will use Customer Data only to provide and improve the Service, and will not disclose it except as necessary to operate the Service, as instructed by you, or as required by law. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and no less than reasonable care.
8. Third-Party Services
The Service may integrate with or rely on third-party services, including hosting providers, payment processors, and analytics tools. Your use of any third-party service is governed by that provider's own terms, and UnitPay is not responsible for the acts or omissions of third-party providers.
9. Warranties Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITPAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. UNITPAY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO UNITPAY IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold UnitPay harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
12. Termination
Either party may terminate these Terms as set out in an applicable order form, or, absent one, with 30 days' written notice. We may suspend or terminate your access immediately if you materially breach these Terms or if required to comply with applicable law. Upon termination, your right to use the Service ends, and any outstanding fees become immediately due.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles, and any disputes will be resolved exclusively in the state or federal courts located in Delaware. (Placeholder pending legal review.)
14. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
